Datavault AI will acquire CyberCatch in an all-cash transaction

Datavault AI Inc., a provider of data monetization, credentialing, digital engagement and real-world asset tokenization technologies, has signed a definitive agreement to acquire 100% of CyberCatch Holdings, a cybersecurity company that provides an AI-enabled platform for continuous compliance and cyber risk mitigation.

The transaction is structured as a court-approved plan of arrangement under the Business Corporations Act of British Columbia. Datavault AI will acquire CyberCatch’s approximately 26.8 million issued and outstanding common shares for $94.5 million in cash, or $3.53 per share. Outstanding dilutive securities will be exchanged on a cashless-exercise basis.

Subject to board, stock exchange, regulatory and shareholder approvals, CyberCatch will operate as a subsidiary of Datavault AI from San Diego, California. CyberCatch founder, Chairman and CEO Sai Huda will serve as president of the subsidiary and report to Datavault AI CEO Nathaniel T. Bradley.

Cybersecurity and compliance platform

CyberCatch’s platform uses generative AI to assess whether required cybersecurity controls are in place and calculate a Cyber Hygiene Score. It also uses agentic AI to simulate threat-actor tactics, techniques and procedures, conduct penetration tests and calculate a Cyber Breach Score.

The platform assesses cybersecurity controls from outside-in, inside-out and social engineering perspectives, with mappings to frameworks including NIST CSF 2.0, NIST 800-171, CMMC 2.0, ISO 27001, HIPAA and PCI DSS.

Its agentic AI system consists of specialized agents assigned to tasks such as reconnaissance, vulnerability detection, selection of attacker tactics, vulnerability exploitation, evidence gathering, reporting and risk mitigation recommendations.

The platform also provides dashboard reporting covering cybersecurity control failures and compliance status across frameworks including NIST CSF 2.0, NIST 800-171, CMMC, HIPAA, CAN/DGC 104 and EU NIS.

Acquisition expands Datavault AI platform

Following the closing of the transaction, Datavault AI expects CyberCatch’s software-as-a-service platform to operate as a cybersecurity and continuous-compliance layer across its existing technology portfolio.

The integration is expected to include Datavault AI’s DataValue, DataScore and Information Data Exchange technologies running on Available Infrastructure’s SanQtum edge platform, as well as technologies from the company’s Acoustic Sciences division, including WiSA, ADIO and Sumerian.

The company also expects the platform to support workloads in regulated industries where compliance with frameworks such as NIST, CMMC, ISO 27001, SOC 2, HIPAA and PCI DSS is required for procurement, audits and renewals.

CyberCatch acquired its multi-authority attribute-based encryption technology in February 2026. The technology, now branded MARS-MABE, is designed to provide data access based on user attributes, restrict access to specific data subsets and revoke access without requiring an entire dataset to be re-encrypted.

CyberCatch also has reseller and referral agreements, including a partnership with Speridian Technologies, an IT services company serving more than 500 enterprise customers, and additional reseller partners serving U.S. government agencies, including Sterling Advisors Group.

“Cybersecurity is no longer a separate stack from data and AI,” said Nathaniel T. Bradley, CEO of Datavault AI. “It is the precondition for both. CyberCatch’s continuous compliance and cyber risk mitigation platform is expected to add to DataValue, DataScore, and IDE a real-time risk and compliance signal at every node of our edge fleet, from federal contractors to enterprise data customers.”

“Datavault AI’s quantum-ready edge platform is exactly the next-generation infrastructure our customers and the marketplace in critical sectors such as defense, healthcare, and financial services need cybersecurity built into,” said Sai Huda, founder, Chairman, and Chief Executive Officer of CyberCatch. “Joining Datavault AI gives our customers a clear path to a unified secure-data platform with continuous compliance and cyber risk mitigation built in.”

The transaction remains subject to CyberCatch shareholder approval, court approval of the plan of arrangement in British Columbia, any required approvals from the TSX Venture Exchange and other customary closing conditions.
